These Terms of Service (“Terms”) govern your access to and use of the services provided by Bonsai / Jackalope Labs, LLC (“Bonsai,” “we,” “us,” or “our”), including the bonsaipods.com website and all related services (“Services”). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using our Services, you confirm that you are at least 18 years old and agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.
2. Description of Services
Bonsai provides managed AI operator infrastructure (“Bonsai Pods”), including dedicated virtual private servers, AI operator software (Sensei), and related support and tooling. Service specifics, features, and limitations are described on our website and may be updated from time to time.
3. Accounts and Registration
To use certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity under your account.
4. Acceptable Use
You agree not to use our Services to:
- Violate any applicable law, regulation, or third-party rights
- Distribute malware, spam, or harmful content
- Attempt to gain unauthorized access to any system or network
- Interfere with the integrity or performance of our Services
- Use our infrastructure for cryptocurrency mining without authorization
- Engage in any activity that is abusive, fraudulent, or deceptive
- Resell, redistribute, or sublicense our Services without permission
We reserve the right to suspend or terminate your access for any violation of these Terms.
5. Payment and Billing
Paid Services are billed in advance on a monthly or other recurring basis as specified in your plan. All fees are non-refundable except as expressly stated herein or required by law. We reserve the right to change pricing with 30 days’ notice.
6. Intellectual Property
Our Services, including all software, designs, text, graphics, and other content, are owned by Bonsai or its licensors and are protected by copyright, trademark, and other intellectual property laws. Your content remains yours; by using our Services, you grant us a limited license to host and process your content solely to provide the Services.
7. Data and Privacy
Your use of our Services is also governed by our Privacy Policy. You retain ownership of all data you store on your Bonsai Pod. We will not access your data except as necessary to provide and maintain the Services, or as required by law.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, data loss, or service interruptions beyond our reasonable control.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BONSAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
Our total liability for any claim arising from these Terms or our Services shall not exceed the total amount paid by you to Bonsai in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Bonsai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services or your violation of these Terms.
11. Termination
Either party may terminate the agreement at any time. You may cancel your subscription by contacting us. Upon termination, your access to the Services will cease and we will provide a reasonable window (30 days) for you to export your data. We may terminate or suspend your access immediately if you violate these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Utah.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our Services after changes are posted constitutes your acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
